1. Acceptance of Terms

By accessing our website at deltrontechnologies.com, requesting a quote or proposal, or entering into an agreement with Deltron Technologies Pvt. Ltd. ("Deltron," "we," "our"), you agree to these Terms & Conditions. If you do not agree, please discontinue use of the website and notify us before confirming any engagement.

2. Services

Deltron provides IT infrastructure, managed services, cybersecurity advisory, audits and assessments such as vulnerability or penetration testing (where applicable), SIEM/threat-response related consulting, identity and access management, networking, endpoint security support, incident response support, implementations, trainings, SaaS licences resold strictly per vendor agreements, and related professional services. The exact scope, deliverables, commercials, and SLAs shall be documented in quotations, statements of work, purchase orders, or master agreements signed by authorised representatives of both parties.

3. Client Obligations

• Provide accurate organisational and technical details material to engagements.
• Grant timely access only to authorised systems and environments relevant to contracted work.
• Maintain appropriate backups and segregation of duties; Deltron's tooling does not relieve you from your own BCM obligations.
• Ensure that licences, approvals, notices, RoFRs/RoFo's etc. requested for testing/production changes are cleared where legally required.
• Notify Deltron promptly of outages, abuses, breaches, investigations, audits, downtime windows, escalation contacts, VPN changes, SSO policy updates, MFA exceptions, egress IP changes impacting allow-lists/DNS/NGFW/etc.
• Approve change windows and validate results of testing in non-production clones where offered.
• For cloud/SaaS, maintain primary administrative relationship & licences with vendors — Deltron facilitates implementation per your entitlements unless otherwise contracted.

4. Payment Terms

Invoices carry the payment timelines stated on quotations or invoices (commonly NET 30 unless otherwise negotiated). Taxes, levies, withholdings statutory in India unless exempt with valid proof, courier/ travel/ out-of-pocket as pre-approved appear separately. Suspension clauses may apply upon material default after notice. Separate refund rules apply — see Refund & Cancellation (not part of standalone purchase of third-party licences without services).

5. Intellectual Property

Pre-existing intellectual property owned by either party stays with that party. Project-specific deliverables (reports excluding raw third-party artefacts, playbooks/templates explicitly licensed in writing), configuration artefacts you paid for expressly "for your internal use" transfer upon full undisputed payment excluding Deltron reusable methodology, anonymised benchmarking, training models, checklists unrelated to confidential client internals. Deltron tooling, scanners (where used under licence), dashboards with multi-tenant features, training materials not explicitly customised remain Deltron/vendor IP subject to underlying EULAs/vendor terms you accept when procured through Deltron unless waived in writing by rights owner.

6. Confidentiality

Both sides protect non-public information labelled or reasonably confidential; exclusions follow standard carve-outs — public domain independently, lawful receipt without restriction, compelled legal disclosure with notice unless prohibited, independently developed materials. Personnel & subcontractors with need-to-know are bound. Confidentiality survives termination consistent with lawful limits.

7. Limitation of Liability

Services are advisory/technical assistance — we do not warrant uninterrupted security, zero breaches, uptime of third-party providers, suitability for a specific regulatory qualification unless contracted as an attestation/audit opinion from an appropriately authorised firm (not implied herein). Liability cap — aggregated — fees paid in the preceding six (6) months for the relevant engagement or INR five lakh (₹500,000) whichever is greater except death/personal injury from gross negligence wilful misconduct unrestrained legally. Consequential, punitive, reputational indirect damages disclaimed fullest extent permissible. You indemnify Deltron/third-party subcontractors against claims from misuse / unauthorised access unless caused by proven Deltron misconduct.

8. Termination

Either party may end the relationship for an uncured material breach after thirty (30) days of written notice, by mutual written agreement, or as insolvency law permits. To the extent the law allows, the following continue: confidentiality, fees for accepted work, intellectual property clauses, caps on liability, and defences/indemnities for events that arose before termination. The parties cooperate on hand-offs and, where required, return or secure destruction of materials. Unused third-party licence fees follow vendor and distributor refund policies, minus reasonable administrative charges we have disclosed. Completed milestones and approved time and materials stay billable.

9. Modifications

We may update posted terms; ongoing engagements continue under signed contracts / statements of work. Revised website terms apply to new use after the posted date. Substantive changes to active paid contracts require a written amendment unless a non-pricing operational or security patch notice is unavoidable.

10. Governing Law & Jurisdiction

These terms are governed by the laws of India without conflict-of-law principles. Courts at Gautam Buddh Nagar / Noida, Uttar Pradesh have exclusive jurisdiction, except where mandatory law provides otherwise.
